Terms of service
These Terms of Service (“Terms”) govern access to and use of the SAFEWERKS website, online store, SAFEWERKS Pro business-to-business purchasing platform, and related services (collectively, the “Site”), and all purchases of products from SAFEWERKS.
By accessing the Site, creating an account, submitting a purchase order, requesting or accepting a quotation, or purchasing products from SAFEWERKS, you (“Customer,” “Buyer,” or “you”) agree to these Terms.
If you are using the Site or purchasing products on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
1. BUSINESS-TO-BUSINESS SALES
SAFEWERKS primarily supplies personal protective equipment (“PPE”), safety equipment, workwear, and related products to businesses and other commercial customers.
Unless expressly agreed otherwise in writing by SAFEWERKS, purchases made through SAFEWERKS Pro are intended for business, commercial, industrial, institutional, or governmental use and not for personal, family, or household use.
Customers are responsible for ensuring that persons placing orders through their accounts are authorized to make purchases on behalf of their organizations.
2. CUSTOMER ACCOUNTS
Certain portions of the Site may require an approved business account.
Customers are responsible for:
- providing accurate and current account information;
- maintaining the confidentiality of usernames and passwords;
- controlling access by employees and other authorized users;
- promptly notifying SAFEWERKS of unauthorized account access; and
- all purchases and activities conducted through their accounts by authorized users.
SAFEWERKS may approve, deny, suspend, restrict, or terminate business accounts when reasonably necessary to protect SAFEWERKS, its customers, manufacturers, suppliers, or the security and operation of the Site.
Customer-specific products, pricing, catalogs, payment terms, and purchasing permissions may differ between accounts.
3. PRICING AND QUOTATIONS
Prices displayed on the Site are subject to change without notice unless otherwise stated in a written quotation, contract, or pricing agreement.
Customer-specific pricing available through SAFEWERKS Pro is confidential commercial information intended solely for the applicable Customer.
Written quotations are valid for the period stated on the quotation. If no expiration period is stated, SAFEWERKS may revise pricing before accepting an order.
Pricing errors, typographical errors, manufacturer price changes, system errors, and other inadvertent errors may be corrected by SAFEWERKS. If an error affects an order already submitted, SAFEWERKS may contact Customer before fulfillment to obtain approval of corrected pricing.
Unless expressly stated otherwise, prices do not include applicable sales, use, excise, or similar taxes or shipping, freight, handling, special-order, or other applicable charges.
4. ORDERS AND ACCEPTANCE
Submission of an order does not necessarily constitute acceptance by SAFEWERKS.
SAFEWERKS reserves the right to accept or reject an order, in whole or in part, including because of product availability, credit considerations, pricing errors, manufacturer restrictions, suspected fraud, shipping limitations, or other legitimate business reasons.
An order becomes binding upon SAFEWERKS when SAFEWERKS accepts the order or begins fulfillment, unless otherwise provided in a written agreement.
Orders for customized, decorated, imprinted, special-order, made-to-order, or non-stock products may not be changed or canceled after production or procurement has begun.
5. PAYMENT TERMS
Payment is due according to the terms shown during checkout, on the applicable invoice, quotation, credit agreement, or other written agreement with SAFEWERKS.
Customers granted credit terms agree to pay all invoices when due.
To the extent permitted by applicable law, overdue amounts may be subject to reasonable finance charges, collection expenses, and costs incurred in collecting unpaid amounts.
SAFEWERKS may suspend shipments, purchasing privileges, credit terms, or account access when an account becomes past due.
Customer may not withhold payment of undisputed amounts because of a dispute concerning another order, shipment, product, or invoice.
6. TAXES
Customer is responsible for all applicable sales, use, excise, and similar taxes associated with its purchases unless SAFEWERKS has received and accepted a valid exemption or resale certificate.
Customer is responsible for maintaining accurate exemption information and notifying SAFEWERKS if its tax-exempt status changes.
7. SHIPPING AND DELIVERY
Shipping and delivery dates are estimates unless SAFEWERKS expressly agrees in writing to a guaranteed delivery date.
SAFEWERKS is not responsible for delays caused by carriers, manufacturers, suppliers, weather, labor disputes, natural disasters, government actions, transportation interruptions, supply shortages, or other circumstances outside SAFEWERKS’ reasonable control.
Products may be shipped from SAFEWERKS facilities, manufacturer facilities, supplier warehouses, or other fulfillment locations.
Freight and shipping charges may be billed separately when not included at checkout or in the applicable quotation.
Customer must inspect shipments promptly after delivery and notify SAFEWERKS of shortages, shipping damage, incorrect products, or other readily apparent shipping discrepancies within a reasonable period after delivery.
Claims involving carrier damage may require Customer to retain packaging, photographs, shipping documents, and damaged products while the claim is investigated.
8. PRODUCT INFORMATION
SAFEWERKS makes reasonable efforts to provide accurate product descriptions, specifications, photographs, sizing information, certifications, and other product information.
Much of this information is supplied by manufacturers and other third parties.
Manufacturers may modify products, packaging, specifications, materials, colors, certifications, or designs without notice. Product photographs are illustrative and may not reflect minor manufacturer changes.
Customer should verify critical specifications before purchasing products for a particular application.
9. PERSONAL PROTECTIVE EQUIPMENT AND PRODUCT SELECTION
Many products sold by SAFEWERKS are designed for occupational safety applications.
Customer acknowledges that selecting appropriate PPE and safety equipment may require an evaluation of workplace hazards, applicable regulations, manufacturer instructions, compatibility with other equipment, employee training, proper fitting, inspection, maintenance, and replacement requirements.
Unless SAFEWERKS expressly agrees otherwise in a separate written agreement, SAFEWERKS does not perform Customer's workplace hazard assessment and does not determine Customer's regulatory compliance obligations.
Product recommendations, product comparisons, technical information, or assistance provided by SAFEWERKS are intended to assist Customer in evaluating available products and do not replace Customer's responsibility to evaluate the workplace, applicable regulations, manufacturer requirements, and the suitability of a product for its intended application.
Customer is responsible for determining whether products are appropriate for Customer's particular workplace, hazards, employees, equipment, and intended use.
Customer must follow all applicable manufacturer instructions, warnings, limitations, inspection requirements, service-life requirements, and applicable laws, regulations, and safety standards.
10. MANUFACTURER INSTRUCTIONS AND CERTIFICATIONS
Certain products may be manufactured or certified to standards established by organizations or governmental agencies, including ANSI, OSHA, NIOSH, ASTM, NFPA, CSA, or other organizations.
References to standards, ratings, certifications, or regulatory requirements are based primarily upon information provided by the manufacturer or applicable certifying organization.
Customer is responsible for determining which standards and regulatory requirements apply to its workplace and intended application.
11. PRODUCT WARRANTIES
SAFEWERKS is a distributor and reseller of products manufactured by third parties unless a product is expressly identified as being manufactured by SAFEWERKS.
Products may be covered by warranties provided by their respective manufacturers. Where applicable and permitted, SAFEWERKS may assist Customer in communicating a warranty claim to the manufacturer, but SAFEWERKS does not control the manufacturer's investigation, approval, denial, repair, replacement, or other resolution of a warranty claim.
Manufacturer warranties are subject to the manufacturer's own terms, limitations, exclusions, procedures, and warranty periods.
No employee, representative, salesperson, website description, quotation, or other communication creates an additional SAFEWERKS warranty unless expressly identified as a warranty and authorized in writing by SAFEWERKS.
12. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS SOLD BY SAFEWERKS ARE PROVIDED “AS IS” AND “WITH ALL FAULTS,” SUBJECT TO ANY APPLICABLE MANUFACTURER WARRANTY.
EXCEPT FOR WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED, SAFEWERKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
THERE ARE NO WARRANTIES PROVIDED BY SAFEWERKS THAT EXTEND BEYOND THOSE EXPRESSLY STATED IN THESE TERMS OR IN A SEPARATE WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED REPRESENTATIVE OF SAFEWERKS.
CUSTOMER ACKNOWLEDGES THAT IT IS RESPONSIBLE FOR DETERMINING WHETHER A PRODUCT IS SUITABLE FOR CUSTOMER'S PARTICULAR PURPOSE, APPLICATION, WORKPLACE, HAZARD, OR USE.
Nothing in these Terms is intended to disclaim or limit a warranty or legal right that cannot lawfully be disclaimed or limited under applicable law.
13. RETURNS
Returns are subject to SAFEWERKS' then-current Return Policy and any product-specific or manufacturer restrictions.
Unless otherwise agreed in writing, products must generally be unused, unworn, unaltered, in resalable condition, and in their original packaging to qualify for return.
Certain products may be non-returnable, including:
- customized or decorated products;
- special-order or made-to-order products;
- clearance or final-sale merchandise;
- products subject to hygiene or contamination concerns;
- opened or used PPE where resale would be inappropriate;
- products that have expired or have limited remaining service life; and
- products designated by a manufacturer or SAFEWERKS as non-returnable.
Return authorization may be required before products are shipped back.
Restocking fees and return shipping charges may apply.
Acceptance of a returned shipment does not constitute approval of a refund or credit until the products have been inspected.
14. DEFECTIVE PRODUCTS
Customer should discontinue use of any product that Customer reasonably believes is defective, damaged, compromised, or unsafe.
Claims involving alleged manufacturing defects may be subject to inspection and evaluation by SAFEWERKS, the manufacturer, or both.
Customer agrees to preserve the allegedly defective product and related packaging, labels, lot numbers, photographs, purchase records, and other reasonably relevant information until the claim has been evaluated.
SAFEWERKS may require return of the product as part of the evaluation process.
15. CUSTOMIZED AND DECORATED PRODUCTS
Customer is responsible for reviewing and approving artwork, logos, spelling, colors, placement, sizing, and other customization details before production.
Customer represents that it owns or has permission to use all trademarks, logos, artwork, and other intellectual property submitted to SAFEWERKS for customization.
Customer agrees to indemnify SAFEWERKS against third-party intellectual-property claims resulting from materials supplied or specifically requested by Customer.
Minor variations inherent in printing, embroidery, manufacturing, color reproduction, placement, or production processes are not considered defects.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAFEWERKS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST PRODUCTION, BUSINESS INTERRUPTION, LOSS OF USE, OR LOSS OF BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE PURCHASE, SALE, DELIVERY, USE, MISUSE, FAILURE, OR PERFORMANCE OF PRODUCTS OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAFEWERKS' AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT, ORDER, OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO SAFEWERKS FOR THE PRODUCT, ORDER, OR TRANSACTION GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
17. CUSTOMER RESPONSIBILITY AND INDEMNIFICATION
To the extent permitted by law, Customer agrees to defend, indemnify, and hold harmless SAFEWERKS and its officers, employees, affiliates, and representatives from third-party claims, damages, liabilities, and reasonable costs arising from:
- Customer's misuse or unauthorized modification of a product;
- failure to follow manufacturer instructions or warnings;
- use of a product outside its stated limitations;
- Customer's violation of applicable laws or safety requirements;
- intellectual property supplied by Customer for customization; or
- Customer's material breach of these Terms.
This provision does not require Customer to indemnify SAFEWERKS for liability to the extent caused by SAFEWERKS' own conduct where such indemnification is prohibited by applicable law.
18. RESALE
Customers purchasing products for resale are responsible for complying with applicable resale, labeling, export, marketplace, manufacturer, and regulatory requirements.
Customer may not alter or remove safety warnings, manufacturer labels, certifications, lot numbers, serial numbers, or other safety-related product information.
19. INTELLECTUAL PROPERTY
The SAFEWERKS name, logos, website design, graphics, photographs owned by SAFEWERKS, written content, and other proprietary materials are owned by SAFEWERKS or its licensors and may not be copied, reproduced, distributed, or commercially used without authorization.
Manufacturer names, trademarks, product images, and logos remain the property of their respective owners.
20. WEBSITE USE
Customer may not use the Site to:
- engage in unlawful activity;
- attempt unauthorized access to systems or accounts;
- interfere with Site operation or security;
- scrape or systematically extract customer-specific pricing or other protected information;
- impersonate another person or organization;
- introduce malicious software; or
- use the Site in a manner that violates applicable law or the rights of another party.
SAFEWERKS may restrict or terminate access for violations of these Terms.
21. CONFIDENTIAL CUSTOMER PRICING
Pricing, catalogs, discounts, rebates, negotiated terms, and product availability displayed to a Customer through SAFEWERKS Pro may be specific to that Customer.
Customer agrees not to publish or distribute confidential customer-specific pricing or negotiated commercial terms to third parties except as reasonably necessary for Customer's internal business operations.
22. FORCE MAJEURE
SAFEWERKS shall not be responsible for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil disturbance, labor disputes, epidemics, government actions, transportation disruptions, cyber incidents affecting third parties, utility failures, manufacturer delays, supply-chain interruptions, material shortages, or carrier delays.
23. GOVERNING LAW
Unless otherwise agreed in writing, these Terms and transactions with SAFEWERKS shall be governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent another jurisdiction's law is required to apply.
The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
24. DISPUTES AND VENUE
Unless otherwise required by applicable law or agreed in writing, any legal action arising from these Terms or a transaction with SAFEWERKS shall be brought in a state or federal court having jurisdiction in the Ohio county in which SAFEWERKS maintains its principal place of business.
Each party consents to the personal jurisdiction of those courts.
25. CONFLICTING CUSTOMER TERMS
Unless expressly accepted in writing by an authorized representative of SAFEWERKS, any additional or conflicting terms contained in Customer's purchase order, procurement portal, vendor agreement, acknowledgment, or other document are rejected and shall not modify these Terms.
Performance of an order by SAFEWERKS does not constitute acceptance of Customer's additional or conflicting terms.
Any separately executed written agreement between SAFEWERKS and Customer shall control to the extent it expressly conflicts with these Terms.
26. CHANGES TO THESE TERMS
SAFEWERKS may update these Terms from time to time.
Changes will become effective when posted to the Site unless otherwise stated. The Terms applicable to a particular transaction will generally be those in effect when the applicable order is accepted, except where the parties have agreed otherwise in writing.
27. SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in effect.
28. NO WAIVER
Failure by SAFEWERKS to enforce any provision of these Terms on one occasion does not waive its right to enforce that provision or any other provision in the future.
29. ENTIRE AGREEMENT
These Terms, together with any applicable quotation, order acknowledgment, invoice, Return Policy, Privacy Policy, credit agreement, pricing agreement, or separately executed written agreement, constitute the agreement between SAFEWERKS and Customer concerning the applicable transaction.
If a separately signed written agreement expressly conflicts with these Terms, the signed written agreement controls with respect to that conflict.
